Rights Issue 2025

Mentice AB (publ) (Nasdaq First North Premier Growth Market) has resolved to carry out a rights issue of approximately SEK 31.95 million, with preferential rights for existing shareholders. This capital raise is part of a broader strategic realignment to enhance operational efficiency, maintain momentum in innovation, and support profitable long-term growth.

Background and Motive
Mentice is a global leader in high-tech simulation solutions for image-guided interventional procedures. In early 2025, following a strategic review led by CEO Frans Venker, the company initiated a global restructuring to increase focus and agility.

This includes:

  • Consolidating physical simulation operations in Denver, US
  • Streamlining global operations
  • Achieving targeted annual cost savings of up to SEK 25 million

To maintain its innovation pace while supporting this transition, the Board has resolved to carry out a rights issue amounting to 10% of the share capital. This ensures financial flexibility without compromising investments in core technologies and customer solutions.

Summary
The Company will receive approximately SEK 31.95 million upon full subscription in the Rights Issue and before deduction of costs related to the Rights Issue (which are expected to amount to MSEK 1.5).

Anyone who is registered in the share register as a shareholder in Mentice on the record date 1 August 2025 will receive one (1) subscription right for each share held in the Company. The subscription rights entitle the holder to subscribe for new shares with preferential rights, whereby ten (10)subscription rights entitle the holder to subscribe for one (1) share.

The subscription period for the Rights Issue will run from 5 August 2025 up to and including 19 August 2025.

The Rights Issue entails an issue of a maximum of 2,556,885 shares.

The subscription price is SEK 12.50 per share, corresponding to a discount of approximately 13.8 percent, compared to the closing price of Mentice’ share on Nasdaq First North Premium Growth Market on 23 July 2025, the last trading day before announcement of the Rights Issue.

The Rights Issue is covered to approximately 87.2 percent subscription commitments.

No prospectus has been prepared in connection with the Rights Issue. The Company has prepared and published an information document (the "Information Document") in accordance with Article 1.4 db of Regulation (EU) 2017/1129 of the European Parliament and of Council of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, and repealing Directive 2003/71/EC (the "Prospectus Regulation").
